TSS is a Pan-European Vertical Market Software group that consists of over 160 independent business units (of which 19 are located in the Nordic region), that deliver leading software products and services to their specific market segments. Founded in the Netherlands, TSS has over the last years grown rapidly through acquisitions and will seek active growth through acquisitions also going forward.
For an M&A lawyer, TSS presents a rare opportunity to work as an inhouse legal counsel with an M&A focus: you will operate as an integral part of the Nordic M&A team of TSS, making sure that the legal M&A workstreams proceed in a smooth and solid manner, and thus pursuing successful outcomes when acquiring new companies in the Nordics.
You will be based in either TSS's Helsinki or Stockholm office and report to the General Manager of TSS Nordics, while being part of the group's European legal team with colleagues across Europe, whose support and know-how you can rely on. The role is likely to require occasional travel mainly within the Nordics. Mostly, travel needs will be pre-planned, but due to the element of surprise connected to the nature of M&A projects, also sudden travel may occur.
TSS acquires established B2B software companies serving a wide array of industries from various types of owners, including founders, industrial and listed companies as well as PE owners. The Nordic scope of the role covers acquisition targets that are headquartered in Finland, Sweden, Denmark, Norway and Iceland (but the scope of their operations may cover a much wider geographical area). Therefore, the role offers a possibility to work with a variety of transactions in a cross-border deal environment within the tech sector!
As the only M&A lawyer in the Nordics, you will oversee the legal matters linked to TSS's M&A projects in this geographical area, covering legal aspects all the way from the very first NDA discussion until the post-closing integration has been completed. For example, you will take an active ownership over:
- the Legal Due Diligence process, covering both conducting LDD by yourself and managing the LDD work carried out by external legal advisors;
- drafting and negotiating transactions agreements, covering NDAs, LOIs, share and asset purchase agreements either independently or supported by external legal advisors;
- coordinating potential merger filings with external legal advisors;
- coordinating signing and closing preparations and seeing to that significant LDD findings are properly addressed to post-closing; and
- developing and fostering the external legal advisor network in the Nordics.
Most of your daily tasks will relate to M&A projects, but you will also serve as the first point of contact for the commercial legal matters of the business units in the Nordics. This could entail reviewing and negotiating commercial agreements and giving legal advice regarding commercial, compliance and governance related topics.
This position is a perfect fit for a lawyer with:
- an LL.M degree and qualification to operate as a lawyer either in Finland or Sweden combined with fluent language skills in both verbal and written form in either Finnish or Swedish as well as in English (further Nordic language skills being an asset);
- at least 5 years of post-graduate experience within M&A and corporate law (but we are very happy to meet and discuss with more senior profiles); your background can be e.g. from legal consultancy or from an M&A-focused inhouse legal position;
- proven track record in executing complex cross-border M&A transactions - prior exposure to tech industry transactions and commercial legal topics is a plus;
- a pragmatic can-do attitude, a strong drive to add value for the business as a lawyer combined with a flexible attitude towards the realities of M&A-focused role; and
- strong communication and negotiation skills - we are looking for an individual who can express themselves in a constructive and solutions-oriented manner and build trust both with internal and external stakeholders.
